1. Accepting these terms

By visiting the Orlo website, requesting a demo, creating an account or using an Orlo product, you agree to these Terms & Conditions and the Privacy Policy. If you use Orlo on behalf of a company, you confirm that you have authority to bind that company.

2. Orlo products

Orlo is organized around two product verticals: Business Apps and Orlo Quant Labs. Features, availability, pricing and documentation may differ by product, plan, region and customer agreement.

We may improve, modify, suspend or discontinue a feature or product. Where a change materially affects a paid service, we will use reasonable efforts to provide notice through the relevant product channel or customer contact.

3. Accounts and responsibilities

You are responsible for providing accurate information, keeping account credentials confidential, maintaining appropriate access controls and notifying us promptly of unauthorized use. You are responsible for activity performed through your account and for ensuring that your users follow these Terms.

You must not use Orlo to break the law, infringe rights, transmit malicious code, probe or disrupt systems, bypass security controls, upload unlawful or harmful material, or build a competing service by systematically copying the product.

4. Customer content

You retain ownership of content, records and materials that you submit to an Orlo product. You grant Orlo the limited rights needed to host, process, display and transmit that content to provide, secure and improve the applicable service.

You represent that you have the rights and permissions required for your content and that its use by Orlo as described in the applicable agreement will not violate law or another person’s rights.

5. Quant Labs disclaimer

Orlo Quant Labs may provide market information, research, educational content, analytical tools or trading technology. This material is for general information and education only. It is not investment, financial, legal, tax or trading advice, and it is not a recommendation to buy, sell or hold any security or financial instrument.

Trading and investing involve risk, including the possible loss of capital. Past performance, simulated results and examples are not guarantees of future results. You are solely responsible for your decisions and should obtain independent professional advice where appropriate.

6. Intellectual property

Orlo, its logos, visual identity, software, designs, documentation, content and technology are owned by or licensed to Woodpecker Technologies Pvt. Ltd. Except for the limited right to use a product under these Terms or a separate agreement, no intellectual-property rights are transferred to you.

You may not copy, modify, distribute, reverse engineer, resell, frame or create derivative works from Orlo materials unless we give written permission.

7. Third-party services

Orlo may integrate with or link to third-party products, data providers, payment services or websites. Third-party services are governed by their own terms and policies. We are not responsible for third-party availability, content, security or performance.

8. Fees and cancellation

Where a product is paid, applicable fees, billing intervals, taxes, renewal terms, refunds and cancellation rights will be stated at purchase or in the relevant order or service agreement. You authorize the selected payment provider to process valid charges.

We may suspend access for overdue amounts, security concerns, material breach or unlawful use. Suspension does not remove amounts already due.

9. Disclaimers and limits

To the maximum extent permitted by law, the website and non-contractual materials are provided on an “as available” basis. We do not promise that every page, feature, data source or service will be uninterrupted, error-free or suitable for every purpose.

To the maximum extent permitted by law, Woodpecker Technologies Pvt. Ltd. will not be liable for indirect, incidental, special, consequential or loss-of-profit damages arising from use of the website or products. Any liability under a paid service is subject to the limits stated in the applicable order or agreement.

10. Indemnity

To the extent permitted by law, you agree to defend and hold harmless Woodpecker Technologies Pvt. Ltd. and its personnel from claims, losses and expenses arising from your unlawful use of Orlo, your content, your breach of these Terms or your violation of another person’s rights.

11. Governing law and contact

These Terms are governed by the laws of India. Subject to any mandatory consumer or other applicable rights, courts located in India will have jurisdiction over disputes arising from these Terms.

12. Updates
